1. Introduction and Acceptance
These Terms & Conditions (the "Terms") form a legally binding agreement between Holonet d.o.o., Berislavićeva ulica 12, 10000 Zagreb, Croatia ("Holonet", "Company", "we", "us", "our") and the person or entity accessing or using holonet.world and any related products, tools, creator systems, APIs, hosted environments, or associated services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms and by any policies incorporated by reference, including the Privacy Policy, Trust & Safety / Moderation Policy, and any applicable product-specific terms.
If you do not agree to these Terms, you must not access or use the Platform.
2. The Platform
Holonet operates a digital platform that enables users to create, publish, access, experience, manage, and interact within immersive or interactive digital environments ("Worlds"), including through creator tools, collaboration systems, runtime logic, hosted assets, and related platform functionality.
Holonet acts as an intermediary hosting service and does not generally pre-screen or exercise general monitoring over user-generated content. Unless expressly stated otherwise, Holonet does not act as the publisher, author, or originator of user-generated content.
3. Eligibility
You may use the Platform only if:
- you meet the minimum age required under applicable law to use the relevant service;
- you have the legal capacity to enter into a binding agreement; and
- your use of the Platform is not prohibited under applicable law.
If you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes that entity.
If special age-based rules, parental consent requirements, or region-specific limitations apply to certain features, Holonet may impose additional eligibility conditions or access restrictions.
4. Accounts and Access
Certain features require an account. When you register for an account, you agree to provide accurate, current, and complete information and to keep that information updated.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activities conducted through your account;
- all actions of team members, collaborators, or other users to whom you grant access; and
- ensuring that access rights granted through your account are used lawfully and consistently with these Terms.
Holonet may offer individual, creator, team, enterprise, developer, or organizational accounts, each of which may be subject to additional usage rules, technical restrictions, or commercial terms.
We may suspend, restrict, or terminate access to all or part of the Platform where reasonably necessary to:
- enforce these Terms or other applicable policies;
- protect the security, integrity, or availability of the Platform;
- prevent fraud, abuse, or misuse;
- comply with legal obligations; or
- mitigate risk to users, third parties, or Holonet.
Where feasible and appropriate, Holonet may provide notice and an opportunity to appeal or correct the issue before permanent suspension or termination.
5. Acceptable Use
You agree to use the Platform lawfully, responsibly, and in a manner that does not harm Holonet, other users, third parties, or the Platform ecosystem.
You must not, and must not attempt to:
- violate any applicable law, regulation, or third-party right;
- upload, share, generate, publish, or make available unlawful, infringing, deceptive, fraudulent, or harmful content;
- harass, threaten, abuse, exploit, stalk, intimidate, or impersonate any person or entity;
- interfere with or disrupt the operation, stability, or security of the Platform;
- gain unauthorized access to systems, accounts, data, or protected areas of the Platform;
- use bots, scripts, scraping techniques, automation, or abusive technical methods except where expressly authorized;
- circumvent access controls, safety systems, payment mechanisms, rate limits, or technical protections;
- exploit bugs, vulnerabilities, or platform mechanics in a manner that harms Holonet or other users;
- use the Platform to distribute malware, malicious code, or harmful payloads;
- engage in conduct that undermines trust, safety, or the integrity of Worlds, creator systems, moderation systems, or platform operations.

6. User Content
The Platform may allow users to create, upload, publish, transmit, store, share, remix, embed, or otherwise make available content, including Worlds, assets, models, scripts, code, interfaces, audio, visual materials, metadata, interactive systems, and related materials ("User Content").
6.1 Ownership
As between you and Holonet, you retain ownership of User Content you create or own, subject to the rights you grant under these Terms and subject to any third-party rights that may apply to materials incorporated into that User Content.
6.2 License to Holonet
To operate the Platform, you grant Holonet a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, cache, transmit, format, adapt, process, display, perform, distribute, index, and otherwise use your User Content solely to the extent necessary to:
- provide, operate, secure, maintain, and improve the Platform;
- enable publication, discovery, access control, sharing, embedding, collaboration, and interoperability within the Platform;
- back up, process, render, stream, moderate, and technically administer User Content;
- enforce these Terms and applicable policies;
- comply with legal obligations; and
- market and promote the Platform, provided that any featured promotional use of identifiable User Content beyond ordinary in-product display may be subject to additional permissions where required by law.
This license continues for as long as the relevant User Content is stored on, made available through, or otherwise processed through the Platform, and for a limited period thereafter where reasonably necessary for backup, security, dispute resolution, legal compliance, or technical continuity.
Holonet will not sell your User Content as standalone content or exploit it outside the operation and promotion of the Platform except as permitted by these Terms, by separate agreement, or by your express authorization.
6.3 Visibility, Sharing, and Remixing
Holonet may allow you to designate User Content as private, shared, public, remixable, reusable, or commercially usable, subject to available product settings.
If you mark User Content as remixable or otherwise reusable, you grant other users the non-exclusive right to access, use, modify, and create derivative works from that User Content within the scope of the permissions you selected and subject to these Terms, the Platform rules, and any applicable license conditions.
Unless expressly stated otherwise, reuse permissions apply only within or through the Platform and do not grant off-platform exploitation rights.
6.4 Responsibility for User Content
You are solely responsible for your User Content and represent and warrant that:
- you own the User Content or have all rights, licenses, permissions, and consents necessary to use it and authorize Holonet and other users to use it as contemplated by these Terms;
- your User Content, and the use of that content as permitted by these Terms, does not violate any law or infringe any third-party rights; and
- your User Content is not misleading as to source, sponsorship, ownership, or rights.
6.5 Removal and Access Restriction
Holonet may remove, disable access to, demote, age-restrict, geoblock, or otherwise restrict User Content where reasonably necessary to:
- comply with law;
- enforce these Terms or applicable policies;
- respond to legal notices, complaints, or infringement allegations;
- protect users or third parties; or
- preserve the integrity, security, or functionality of the Platform.
7. Intellectual Property in the Platform
The Platform, including its software, systems, user interfaces, design, branding, trade names, trademarks, service marks, databases, platform architecture, tools, and underlying technology, is owned by Holonet or its licensors and is protected by intellectual property and other applicable laws.
Except as expressly permitted by these Terms or by applicable law, you may not copy, modify, distribute, license, reverse engineer, decompile, create derivative works from, or otherwise exploit any part of the Platform.
No rights are granted to you except the limited rights expressly set out in these Terms.
8. Creator Tools, Commercial Use, and Monetization
Holonet may offer creator tools, professional features, team functionality, commercial plans, enterprise offerings, APIs, or monetization features under separate or supplemental terms.
Commercial usage rights exist only to the extent expressly granted under the applicable plan, product documentation, or written agreement.
If Holonet enables paid content, creator monetization, subscriptions, revenue sharing, in-world transactions, advertising, marketplace features, or similar functionality, such features may be subject to additional terms, eligibility criteria, payment processing requirements, tax treatment, compliance checks, fee schedules, or geographic restrictions.
Holonet may modify, suspend, limit, or discontinue creator, commercial, or monetization features where reasonably necessary for business, legal, technical, or security reasons.
9. Fees, Billing, and Subscriptions
Certain features may require payment.
If you purchase a paid subscription or paid feature, you agree to pay all applicable fees, taxes, and charges as disclosed at the time of purchase.
Unless otherwise stated:
- fees are charged in advance;
- subscriptions renew automatically for successive billing periods unless cancelled before renewal;
- you authorize Holonet or its payment processor to charge the payment method on file; and
- pricing, plan structure, and feature availability may change on reasonable notice.
Holonet may suspend or restrict access to paid features for failed payment, suspected fraud, chargeback abuse, or non-payment.
9.1 EU Consumer Rights
If you are a consumer in the European Union or another jurisdiction granting similar mandatory rights, you may have statutory rights, including withdrawal rights for distance contracts. Where digital content or digital services are supplied immediately, you may be asked to expressly consent to immediate performance and acknowledge that you thereby lose any withdrawal right to the extent permitted by law. Nothing in these Terms limits any non-waivable consumer rights.
9.2 Refunds
Except where required by applicable law, fees are non-refundable. If mandatory law requires refunds, pro rata treatment, or specific cancellation rights, those rights will apply.
10. Third-Party Services
The Platform may depend on, integrate with, or interoperate with third-party services, including hosting, storage, analytics, payment, communications, authentication, mapping, AI, or development tools.
Holonet does not control third-party services and is not responsible for the acts, omissions, content, availability, or independent terms and data practices of those third parties.
However, where third-party services are material to core Platform functionality, Holonet may take commercially reasonable steps to mitigate disruptions or maintain service continuity.
11. APIs, Developer Access, and Technical Restrictions
If Holonet provides APIs, SDKs, developer tools, or technical access mechanisms, your use of them must comply with all documentation, usage limits, authentication rules, technical restrictions, and applicable product terms.
You must not use technical access to:
- overload, disrupt, or impair the Platform;
- extract data in an unauthorized or abusive manner;
- bypass rate limits or technical controls;
- build a competing service by replicating core protected platform functionality through prohibited means; or
- compromise security, privacy, or service integrity.
Holonet may monitor API or technical usage for abuse prevention, security, metering, and compliance purposes.
12. Privacy and Data Protection
Holonet processes personal data in accordance with applicable data protection laws and the Privacy Policy.
The Privacy Policy explains what personal data we process, how we use it, on what legal bases we rely, with whom we share it, how long we retain it, and what rights individuals may exercise.
13. Availability, Persistence, and Export
Holonet works to provide a reliable service, but the Platform is offered on an "as available" basis.
We do not guarantee uninterrupted availability, error-free operation, or indefinite storage or persistence of Worlds or User Content.
Worlds, content, or features may become unavailable, restricted, read-only, archived, deprecated, or deleted due to technical, business, legal, policy, or operational reasons.
Where reasonably feasible and appropriate, Holonet may provide notice, grace periods, archival mechanisms, or export functionality. Users remain responsible for maintaining their own backups of important content where possible.
14. Disclaimer of Warranties
To the fullest extent permitted by law, and except where statutory guarantees apply, the Platform is provided "as is" and "as available."
Holonet disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, interoperability, or error-free operation.
Holonet does not guarantee that the Platform will always be available, secure, or free from bugs, latency, interruptions, or loss.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Holonet and its directors, officers, employees, affiliates, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to the Platform or these Terms.
To the maximum extent permitted by law, Holonet's aggregate liability arising out of or related to these Terms or the Platform shall not exceed the greater of:
- the total amount paid by you to Holonet for the relevant paid service during the twelve (12) months preceding the event giving rise to the claim; or
- one hundred euro (EUR 100), if you have not paid Holonet for use of the Platform during that period.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud, intentional misconduct, gross negligence where non-waivable, death or personal injury caused by negligence where non-waivable, or violation of mandatory consumer rights.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Holonet and its affiliates, officers, directors, employees, contractors, and agents from and against third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your User Content;
- your breach of these Terms or applicable policies;
- your unlawful use of the Platform; or
- your infringement or violation of any third-party rights.
This indemnity applies only to the extent a claim is caused by your acts, omissions, content, or breach.
17. Suspension and Termination
You may stop using the Platform at any time.
Holonet may suspend, restrict, disable, or terminate your access to all or part of the Platform where reasonably necessary for legal, policy, security, abuse-prevention, operational, or business reasons, including where Holonet reasonably believes that:
- you breached these Terms or applicable policies;
- your conduct creates risk or potential liability;
- your account has been inactive for an extended period and the relevant product terms allow deactivation; or
- continued provision of the service is no longer commercially or technically viable.
Upon suspension or termination:
- your rights under these Terms will cease to the extent applicable;
- access to Worlds, tools, paid features, or stored content may be restricted or end;
- User Content may be retained, deleted, anonymized, or archived in accordance with the Privacy Policy, legal obligations, legitimate operational needs, and product design; and
- export functionality, if any, may remain available only for a limited period.
18. Reporting, Moderation, and Safety Enforcement
Holonet maintains systems and procedures for handling illegal content notices, policy violations, moderation appeals, and related safety matters. These processes are described in the Trust & Safety / Moderation Policy.
Holonet may use automated tools and human review to detect, assess, prioritize, restrict, or remove content and behavior that may violate law or policy.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Croatia, excluding conflict of laws principles.
If you are a consumer, mandatory provisions of the law of your country of residence may also apply, and nothing in these Terms deprives you of rights you cannot waive under applicable law.
Any dispute that is not subject to mandatory consumer venue protections shall fall within the jurisdiction of the competent courts in Zagreb, Croatia.
20. Changes to the Terms
Holonet may update these Terms from time to time to reflect changes in the Platform, law, policy, security needs, or business operations.
Where required by law, Holonet will provide notice of material changes. Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of those updated Terms, except to the extent additional consent is required by law.
21. Miscellaneous
21.1 Entire Agreement
These Terms, together with any incorporated policies and product-specific terms, constitute the entire agreement between you and Holonet regarding the Platform, unless superseded by a separate written agreement.
21.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
21.3 No Waiver
Failure by Holonet to enforce any provision of these Terms is not a waiver of its right to do so later.
21.4 Assignment
Holonet may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without Holonet's prior written consent.
21.5 Force Majeure
Holonet is not liable for delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or infrastructure failures, governmental actions, or failures of suppliers or service providers.
